Identification of the Service Provider<\/h2>\n                  <\/div>\n                <\/div>\n                <div data-colibri-id=\"1348-c13\" class=\"h-text h-text-component style-828 style-local-1348-c13 position-relative h-element\">\n                  <!---->\n                  <!---->\n                  <div class=\"\">\n                    <p>These General Terms and Conditions of Sale (hereinafter referred to as the \u201cGTC\u201d) are entered into between:<\/p>\n                    <p><strong>Corentin Granger EI \u2013 Terrea Nomade,<\/strong>\n                      <br>Landscape Engineer,\n                      <br>Sole Proprietor,\n                      <br>Registered office: 760 route des Converses, 07430 VERNOSC-LES-ANNONAY, FRANCE,\n                      <br>Registered with the Trade and Companies Register (RCS) of Aubenas under number 999 237 522,<\/p>\n                    <p>Hereinafter referred to as the <strong>\u201cService Provider\u201d<\/strong> \u00bb<\/p>\n                    <p>And any natural or legal person using the services of the Service Provider,\n                      <br>Hereinafter referred to as the \u201c<strong>Client\u201d <\/strong>\u00bb.<\/p>\n                  <\/div>\n                <\/div>\n                <div data-colibri-id=\"1348-c14\" class=\"h-global-transition-all h-heading style-850 style-local-1348-c14 position-relative h-element\">\n                  <!---->\n                  <div class=\"h-heading__outer style-850 style-local-1348-c14\">\n                    <!---->\n                    <!---->\n                    <h2 class=\"\">2. Scope of application \u2013 Exclusivity \u2013 Contractual hierarchy<\/h2>\n                  <\/div>\n                <\/div>\n                <div data-colibri-id=\"1348-c15\" class=\"h-text h-text-component style-837 style-local-1348-c15 position-relative h-element\">\n                  <!---->\n                  <!---->\n                  <div class=\"\">\n                    <p>These GTC apply&nbsp;<strong>to all contracts, quotations, and services,<\/strong>including but not limited to:<\/p>\n                    <ul>\n                      <li>landscape studies and diagnostics,<\/li>\n                      <li>landscape design (2D plans, 3D modeling, sketches, drawings, photomontages),<\/li>\n                      <li>landscape engineering,<\/li>\n                      <li>project management assistance (AMO),<\/li>\n                      <li>site supervision and coordination,<\/li>\n                      <li>execution of landscape development works,<\/li>\n                      <li>installation of fences, gates, or garden gates,<\/li>\n                      <li>small-scale landscape masonry works,<\/li>\n                      <li>And more generally, any related service carried out by&nbsp;<strong>Terrea Nomade<\/strong>in France.<\/li>\n                    <\/ul>\n                    <p>The parties expressly agree that&nbsp;<strong>their relationship is governed exclusively by these GTC<\/strong>, to the exclusion of any other document, including any general purchasing conditions of the Client, in accordance with Article&nbsp;<strong>1119 of the French Civil Code<\/strong>.<\/p>\n                    <p>Any derogation from or modification to these GTC requested by the Client must:<\/p>\n                    <ul>\n                      <li>be made in writing,<\/li>\n                      <li>occur no later than acceptance of the quotation,<\/li>\n                      <li>and be expressly accepted in writing by the Service Provider to be enforceable.<\/li>\n                    <\/ul>\n                    <p>In the event of a contradiction between these GTC and specific conditions stated in a quotation or amendment accepted by the parties,&nbsp;<strong>the specific conditions shall prevail<\/strong>.<\/p>\n                  <\/div>\n                <\/div>\n                <div data-colibri-id=\"1348-c16\" class=\"h-global-transition-all h-heading style-851 style-local-1348-c16 position-relative h-element\">\n                  <!---->\n                  <div class=\"h-heading__outer style-851 style-local-1348-c16\">\n                    <!---->\n                    <!---->\n                    <h2 class=\"\">3. Quotation \u2013 Formation of the contract<\/h2>\n                  <\/div>\n                <\/div>\n                <div data-colibri-id=\"1348-c17\" class=\"h-text h-text-component style-827 style-local-1348-c17 position-relative h-element\">\n                  <!---->\n                  <!---->\n                  <div class=\"\">\n                    <p>Any service is subject to&nbsp;<strong>a written quotation<\/strong>, free of charge or paid depending on the nature of the assignment, specifying in particular:<\/p>\n                    <ul>\n                      <li>the nature and scope of the services,<\/li>\n                      <li>the deliverables expected and expressly stated in the quotation,<\/li>\n                      <li>the price excluding taxes (HT) and including all taxes (TTC),<\/li>\n                      <li>the payment terms.<\/li>\n                    <\/ul>\n                    <p>The contract is deemed formed&nbsp;<strong>upon written acceptance of the quotation<\/strong>&nbsp;by the Client (handwritten or electronic signature), in accordance with Articles&nbsp;<strong>1113 and 1118 of the French Civil Code.<\/strong>.<\/p>\n                    <p>Any modification requested after acceptance of the quotation shall give rise to an&nbsp;<strong>amendment or revised quotation<\/strong>, subject to written acceptance.<\/p>\n                  <\/div>\n                <\/div>\n                <div data-colibri-id=\"1348-c18\" class=\"h-global-transition-all h-heading style-852 style-local-1348-c18 position-relative h-element\">\n                  <!---->\n                  <div class=\"h-heading__outer style-852 style-local-1348-c18\">\n                    <!---->\n                    <!---->\n                    <h2 class=\"\">4. Validity of quotations<\/h2>\n                  <\/div>\n                <\/div>\n                <div data-colibri-id=\"1348-c19\" class=\"h-text h-text-component style-841 style-local-1348-c19 position-relative h-element\">\n                  <!---->\n                  <!---->\n                  <div class=\"\">\n                    <p>Unless otherwise stated, quotations are valid for&nbsp;<strong>30 days<\/strong>&nbsp;from their date of issue.<\/p>\n                    <p>Prices are established based on the economic, tax, and regulatory conditions in force on the date of the quotation.\n                      <br>\n                    <\/p>\n                    <p>Any legislative or regulatory change (in particular VAT) may be passed on.<\/p>\n                  <\/div>\n                <\/div>\n                <div data-colibri-id=\"1348-c20\" class=\"h-global-transition-all h-heading style-853 style-local-1348-c20 position-relative h-element\">\n                  <!---->\n                  <div class=\"h-heading__outer style-853 style-local-1348-c20\">\n                    <!---->\n                    <!---->\n                    <h2 class=\"\">5. Obligations of the service provider<\/h2>\n                  <\/div>\n                <\/div>\n                <div data-colibri-id=\"1348-c21\" class=\"h-text h-text-component style-836 style-local-1348-c21 position-relative h-element\">\n                  <!---->\n                  <!---->\n                  <div class=\"\">\n                    <p>The Service Provider undertakes to perform its assignments with professionalism, independence, and diligence, in accordance with professional standards.<\/p>\n                    <p>In accordance with Article&nbsp;<strong>1231-1 of the French Civil Code<\/strong>, the Service Provider is subject to an&nbsp;<strong>obligation of means<\/strong>, not an obligation of result.<\/p>\n                  <\/div>\n                <\/div>\n                <div data-colibri-id=\"1348-c22\" class=\"h-global-transition-all h-heading style-854 style-local-1348-c22 position-relative h-element\">\n                  <!---->\n                  <div class=\"h-heading__outer style-854 style-local-1348-c22\">\n                    <!---->\n                    <!---->\n                    <h2 class=\"\">6. Obligations of the client<\/h2>\n                  <\/div>\n                <\/div>\n                <div data-colibri-id=\"1348-c23\" class=\"h-text h-text-component style-833 style-local-1348-c23 position-relative h-element\">\n                  <!---->\n                  <!---->\n                  <div class=\"\">\n                    <p>The Client undertakes to:<\/p>\n                    <ul>\n                      <li>provide accurate, complete, and usable information,<\/li>\n                      <li>provide all necessary documents (plans, easements, networks, regulatory constraints),<\/li>\n                      <li>obtain, under their own responsibility, all required administrative or private authorizations (planning permission, co-ownership, neighborhood, etc.).<\/li>\n                    <\/ul>\n                    <p>Any failure may result in suspension of the assignment without liability on the part of the Service Provider.<\/p>\n                  <\/div>\n                <\/div>\n                <div data-colibri-id=\"1348-c24\" class=\"h-global-transition-all h-heading style-855 style-local-1348-c24 position-relative h-element\">\n                  <!---->\n                  <div class=\"h-heading__outer style-855 style-local-1348-c24\">\n                    <!---->\n                    <!---->\n                    <h2 class=\"\">7. Execution deadlines<\/h2>\n                  <\/div>\n                <\/div>\n                <div data-colibri-id=\"1348-c25\" class=\"h-text h-text-component style-835 style-local-1348-c25 position-relative h-element\">\n                  <!---->\n                  <!---->\n                  <div class=\"\">\n                    <p>Execution timelines are not contractual and are provided&nbsp;<strong>for indicative purposes only.<\/strong><\/p>\n                    <p>No delay may be attributed to the Service Provider in the event of:<\/p>\n                    <ul>\n                      <li>force majeure (article&nbsp;<strong>1218 of the French Civil Code<\/strong>),<\/li>\n                      <li>bad weather or natural disasters,<\/li>\n                      <li>delays attributable to the Client or a third party,<\/li>\n                      <li>modification of the scope of the assignment,<\/li>\n                      <li>unforeseen technical, regulatory, or administrative constraints.<\/li>\n                    <\/ul>\n                  <\/div>\n                <\/div>\n                <div data-colibri-id=\"1348-c26\" class=\"h-global-transition-all h-heading style-856 style-local-1348-c26 position-relative h-element\">\n                  <!---->\n                  <div class=\"h-heading__outer style-856 style-local-1348-c26\">\n                    <!---->\n                    <!---->\n                    <h2 class=\"\">8. Price \u2013 Payment terms<\/h2>\n                  <\/div>\n                <\/div>\n                <div data-colibri-id=\"1348-c27\" class=\"h-text h-text-component style-834 style-local-1348-c27 position-relative h-element\">\n                  <!---->\n                  <!---->\n                  <div class=\"\">\n                    <p>Prices are expressed in euros&nbsp;<strong>, excluding taxes (HT) and including all taxes (TTC).<\/strong>.<\/p>\n                    <p>Unless otherwise stipulated:<\/p>\n                    <ul>\n                      <li>a&nbsp;<strong>30% deposit<\/strong>&nbsp;is required upon order,<\/li>\n                      <li>the balance is payable according to the schedule stated in the quotation or upon completion of the works.<\/li>\n                    <\/ul>\n                    <p>Payments are made by bank transfer or any other method expressly stated in the quotation and accepted by the Service Provider. Payment becomes irrevocable upon receipt.<\/p>\n                  <\/div>\n                <\/div>\n                <div data-colibri-id=\"1348-c28\" class=\"h-global-transition-all h-heading style-857 style-local-1348-c28 position-relative h-element\">\n                  <!---->\n                  <div class=\"h-heading__outer style-857 style-local-1348-c28\">\n                    <!---->\n                    <!---->\n                    <h2 class=\"\">9. Late Payment<\/h2>\n                  <\/div>\n                <\/div>\n                <div data-colibri-id=\"1348-c29\" class=\"h-text h-text-component style-819 style-local-1348-c29 position-relative h-element\">\n                  <!---->\n                  <!---->\n                  <div class=\"\">\n                    <p>Any late payment automatically gives rise to:<\/p>\n                    <ul>\n                      <li>Late payment penalties calculated at the increased legal interest rate, in accordance with Article&nbsp;<strong>L441-10 of the French Commercial Code<\/strong>,<\/li>\n                      <li>a fixed compensation of&nbsp;<strong>40 \u20ac<\/strong>&nbsp;for recovery costs.<\/li>\n                    <\/ul>\n                    <p>The Service Provider reserves the right to suspend any ongoing services.<\/p>\n                  <\/div>\n                <\/div>\n                <div data-colibri-id=\"1348-c30\" class=\"h-global-transition-all h-heading style-858 style-local-1348-c30 position-relative h-element\">\n                  <!---->\n                  <div class=\"h-heading__outer style-858 style-local-1348-c30\">\n                    <!---->\n                    <!---->\n                    <h2 class=\"\">10. Execution of works \u2013 Specific conditions<\/h2>\n                  <\/div>\n                <\/div>\n                <div data-colibri-id=\"1348-c31\" class=\"h-text h-text-component style-825 style-local-1348-c31 position-relative h-element\">\n                  <!---->\n                  <!---->\n                  <div class=\"\">\n                    <p>When the Service Provider directly carries out the works:<\/p>\n                    <ul>\n                      <li>the Client undertakes to guarantee access to the site,<\/li>\n                      <li>underground networks must be identified,<\/li>\n                      <li>acceptance of the works constitutes approval, subject to written reservations made within 15 days.<\/li>\n                    <\/ul>\n                    <p>The Service Provider cannot be held responsible for damage caused by incorrect information provided by the Client or resulting from unforeseen conditions (vandalism, unidentified networks, bad weather, unstable soil, etc.).<\/p>\n                  <\/div>\n                <\/div>\n                <div data-colibri-id=\"1348-c32\" class=\"h-global-transition-all h-heading style-859 style-local-1348-c32 position-relative h-element\">\n                  <!---->\n                  <div class=\"h-heading__outer style-859 style-local-1348-c32\">\n                    <!---->\n                    <!---->\n                    <h2 class=\"\">11. Intellectual property<\/h2>\n                  <\/div>\n                <\/div>\n                <div data-colibri-id=\"1348-c33\" class=\"h-text h-text-component style-823 style-local-1348-c33 position-relative h-element\">\n                  <!---->\n                  <!---->\n                  <div class=\"\">\n                    <p>All studies, plans, sketches, models, and documents remain the&nbsp;<strong>exclusive intellectual property of the Service Provider<\/strong>, even after payment, in accordance with Articles&nbsp;<strong>L111-1 et seq. of the Intellectual Property Code.<\/strong>.<\/p>\n                    <p>Any reproduction or use without written authorization is prohibited.<\/p>\n                  <\/div>\n                <\/div>\n                <div data-colibri-id=\"1348-c34\" class=\"h-global-transition-all h-heading style-860 style-local-1348-c34 position-relative h-element\">\n                  <!---->\n                  <div class=\"h-heading__outer style-860 style-local-1348-c34\">\n                    <!---->\n                    <!---->\n                    <h2 class=\"\">12. Liability \u2013 Insurance<\/h2>\n                  <\/div>\n                <\/div>\n                <div data-colibri-id=\"1348-c35\" class=\"h-text h-text-component style-822 style-local-1348-c35 position-relative h-element\">\n                  <!---->\n                  <!---->\n                  <div class=\"\">\n                    <p>The liability of the Service Provider is strictly limited to the caps guaranteed by its professional civil liability insurance, in accordance with the Insurance Code.<\/p>\n                    <p>A certificate may be provided upon request.<\/p>\n                  <\/div>\n                <\/div>\n                <div data-colibri-id=\"1348-c36\" class=\"h-global-transition-all h-heading style-861 style-local-1348-c36 position-relative h-element\">\n                  <!---->\n                  <div class=\"h-heading__outer style-861 style-local-1348-c36\">\n                    <!---->\n                    <!---->\n                    <h2 class=\"\">13. Force majeure<\/h2>\n                  <\/div>\n                <\/div>\n                <div data-colibri-id=\"1348-c37\" class=\"h-text h-text-component style-824 style-local-1348-c37 position-relative h-element\">\n                  <!---->\n                  <!---->\n                  <div class=\"\">\n                    <p>Neither party may be held liable in the event of force majeure as defined in Article&nbsp;<strong>1218 of the French Civil Code<\/strong>.<\/p>\n                  <\/div>\n                <\/div>\n                <div data-colibri-id=\"1348-c38\" class=\"h-global-transition-all h-heading style-862 style-local-1348-c38 position-relative h-element\">\n                  <!---->\n                  <div class=\"h-heading__outer style-862 style-local-1348-c38\">\n                    <!---->\n                    <!---->\n                    <h2 class=\"\">14. Right of withdrawal (private clients)<\/h2>\n                  <\/div>\n                <\/div>\n                <div data-colibri-id=\"1348-c39\" class=\"h-text h-text-component style-821 style-local-1348-c39 position-relative h-element\">\n                  <!---->\n                  <!---->\n                  <div class=\"\">\n                    <p>In accordance with Articles&nbsp;<strong>L221-18 et seq. of the French Consumer Code<\/strong>, the Client has a 14-day withdrawal period for contracts concluded off-premises. In the event of commencement of performance with express agreement, the right of withdrawal does not apply and the 30% deposit is non-refundable.<\/p>\n                  <\/div>\n                <\/div>\n                <div data-colibri-id=\"1348-c40\" class=\"h-global-transition-all h-heading style-863 style-local-1348-c40 position-relative h-element\">\n                  <!---->\n                  <div class=\"h-heading__outer style-863 style-local-1348-c40\">\n                    <!---->\n                    <!---->\n                    <h2 class=\"\">15.
